Licensing Agreement

MEMORANDUM OF AGREEMENT

Made this day  Saturday, July 14th

Between Norwood Entertainments Ltd
Registered in England N^o: 146090
Hereinafter called ‘the licensor’ of the one part
and (Your company name and address)
Hereinafter called ‘the licensee’ of the other part

1. The licensor grants the licensee the right to include ( X seconds ) of footage
   From the film entitled “(Film Title)” for use in the programme “(programme name)”

2. The Territory: (territory here)

3. In consideration of the rights hereby granted the licensee agrees to pay the licensor
   the sum of £ (fee) plus VAT as arranged.
   Such payment to be made within 28 days from the receipt of the licensors invoice

4. The duration of this license shall be 5 years from the date of the first transmission

5. Number of transmissions: unlimited

6. The licensor warrants and agrees that it is vested all the rights necessary to enable
   it to enter into this agreement and that nothing contained in the extract infringes
   the copyright of a third party

7. The licensor warrants and agrees to indemnify the licensee from any action or
   disturbance caused by any third party making claims

8. The licensor asserts that footage in any format supplied to the licensee for viewing
   and/or editing purposes for the above named programme remains the property of
   the licensor and may not be used by the licensee on any subsequent projects
   without prior payment and written consent

9. The charges listed in item 3 of this document may not reflect the standard
   Norwood Films price structure and unless otherwise agreed all archive material will be
   charged at the standard rate as detailed on the Norwood Films website at
   www.norwoodfilms.co.uk
   This document relates specifically and exclusively to the programme mentioned in item 1
